Wellbee Social Inc. - Instructor Terms

1. Introduction
Welcome to Wellbee Social, a service provided by Wellbee Social Inc. (“Wellbee,” “we,” “us,” or “our”). These Instructor Terms (“Terms”), together with our Terms of Service, and Privacy Policy govern your use of our website and services. Websites include: Wellbee Social “https://wellbee.social“, Wellbee Academy “https://academy.wellbee.social“, and Wellbee Events: “https://events.wellbee.social“. By signing up as an Instructor, creating and selling courses and tickets on the Wellbee Social platform, you agree to these Terms. If you do not agree, you may not use our services to publish or sell any content, events, or products.
When you sign up as an Instructor by sending in an Application, you enter into a binding contract with Wellbee Social Inc., an Alberta-based corporation in Canada. Any capitalized terms not defined herein shall have the same meaning as those in the Terms of Service.
2. Definitions
- Instructor: Any user approved to sell courses, events, or products on the platform.
- Submitted Content: All content uploaded or created by Instructors, including course material, event descriptions, store policies, product listings, images, and media.
- Services: The tools, platform, and features provided by Wellbee Social to facilitate sales, course creation, and event hosting.
3. Instructor Obligations
As an Instructor, you are responsible for:
- Content: Ensuring all Submitted Content complies with intellectual property laws, aligns with Wellbee Social’s mission, and maintains high-quality standards.
- Accuracy: Providing accurate account details and Submitted Content descriptions.
- User Experience: Delivering services/products professionally and in accordance with your industry’s standards.
- Compliance: Adhering to applicable local and international laws, including tax obligations and shipping regulations.
You must not:
- Upload content that is offensive, defamatory, illegal, or violates intellectual property rights.
- Solicit users outside of the platform or misuse their personal information.
- Circumvent the platform by redirecting users to off-site services or sales.
- Engage in fraudulent activities, spamming, or unauthorized promotions.
4. Trust and Safety
4.1 Approval and Removal of Content
Wellbee Social reserves the right to review and remove Submitted Content or suspend accounts at its sole discretion, particularly if:
- Content violates these Terms, our mission, or local laws.
- An Instructor’s behavior damages the Wellbee Social brand.
- Fraudulent or suspicious activity is detected.
4.2 Theme Compliance
Submitted Content must align with natural and holistic wellness themes (e.g., Homeopathy, Ayurveda, Yoga, Nutrition). Non-compliant content or products may be removed without prior notice.
4.3 Data Privacy
Instructors must only use user data provided through the platform for fulfilling transactions or delivering services. Instructors must adhere to Wellbee Social’s Privacy Policy regarding the collection, use, and storage of customer data. Misuse of user data, including sharing or selling data outside the platform, is strictly prohibited and may result in suspension or termination.
5. Pricing and Fees
5.1 Setting Prices
Instructors may set prices for courses, events, or products, but Wellbee Social reserves the right to adjust pricing for promotions or compliance with regional regulations.
5.2 Transaction Fees
Wellbee Social charges instructors a 7% Service Fee and a 5% Payment Processing Fee per transaction. These fees are deducted from the instructor’s earnings at the point of sale.
5.3 Additional Fees to Customers
Customers purchasing courses, event tickets, or products through Wellbee Social are subject to the following additional fees at checkout. These fees are collected by Wellbee Social and are applied separately to the customer’s total payment:
- Payment Processing Fee: A fee of 5.75% of the transaction amount is applied to cover payment gateway processing costs.
- Service Fee: A fee of 7.25% of the transaction amount is applied to support platform maintenance, customer service, and administrative operations.
These fees are non-refundable, even in cases where a transaction is canceled or refunded. Wellbee Social retains sole discretion over these fees and reserves the right to modify them as necessary. Any changes will be communicated through updates to these Terms and will be reflected on the checkout page.
5.4 Taxes
Wellbee Social collects and remits applicable taxes (e.g., VAT, GST) for sales in jurisdictions where required by law.
5.5 Free Courses & Events
- Instructors may offer free courses or events on Wellbee Social without requiring a payout method (e.g., PayPal).
- Since these offerings are free, no service fees, payment processing fees, or deductions will apply.
- Free courses and events must still adhere to content quality standards and platform policies, including guidelines on content approval and user experience.
- Wellbee Social reserves the right to review or remove free courses and events if they do not align with platform guidelines.
6. Payments, Withdrawals, and Refunds
6.1 Payouts
- Events: Payouts will be sent to the Instructor’s PayPal account within 24-48 hours following the completion date of the scheduled event. Event hosts should submit their PayPal details before selling tickets.
- Courses: Payouts are sent 15 days after the purchase of the course to accommodate potential refunds. Instructors are responsible for setting up their PayPal details in their Instructor Dashboard Settings to receive payouts on time.
6.2 Refunds
Course and Event refunds are processed and authorized by Wellbee Social. Instructors do not handle these refunds directly. When a refund is issued, the instructor will not receive any earnings for that transaction.
- Courses: Refunds may be granted within 7 days of purchase if less than 10% of the course has been completed. If a refund is issued, the instructor will not receive any payout for that course transaction.
- Events: Refunds may be issued for event cancellations, schedule changes, or other qualifying circumstances. If a refund is granted, the instructor will not receive a payout for the refunded ticket.
- General: Wellbee Social retains full discretion to process refunds in accordance with its policies. Refunds will be reflected in the instructor’s earnings summary, and any applicable deductions will be applied automatically.
6.3 Instructor Responsibilities
Instructors on Wellbee Social are responsible for the following:
- Understanding Fees & Deductions: Instructors acknowledge that transaction fees (including service and payment processing fees) are deducted from their earnings before payouts.
- Managing Payouts: Instructors must ensure their payment details are accurate and up to date to receive timely payouts as per the platform’s schedule.
- Compliance with Refund Policies: Instructors acknowledge that courses and events refunds are authorized and processed by Wellbee Social. Refunds will result in the instructor not receiving earnings for that transaction. Instructors are not responsible for issuing refunds but should adhere to platform policies regarding cancellations and customer interactions.
- Maintaining Course & Event Standards: Instructors must deliver the content and services as described in their listings and maintain professional engagement with customers.
7. Fulfillment
Instructors are responsible for:
- Ensuring correspondence and timely responses to learners for queries and doubts, with courses and events (within 24 to 48 hours).
- Communicate clearly with Event attendees who have purchased tickets and/or RSVP’ed for any event cancellations or rescheduling.
- Maintain privacy for personal data of learners and event attendees, such as name, email, etc.
8. Licenses and Intellectual Property
8.1 License to Wellbee Social
Instructors grant Wellbee Social a license to use their Submitted Content for marketing, quality control, and promotional purposes. This includes modifying content to improve accessibility.8.2 Trademarks
Instructors may use Wellbee Social trademarks with prior approval, provided they adhere to guidelines and avoid misleading uses.9. Account Management
9.1 Termination
Instructors may terminate their account by contacting Wellbee Social by filling out the form here. If users have previously purchased your content, it will remain accessible post-termination.9.2 Suspension
Wellbee Social reserves the right to suspend or terminate accounts for violations of these Terms or fraudulent activity.10. Dispute Resolution
All disputes shall be resolved via arbitration under the Alberta Arbitration Act. Arbitration proceedings will take place in Alberta, Canada, in English.
11. Disclaimer of Liability
11.1 Liability
Wellbee Social provides its platform “as-is” and “as-available” without any warranties or guarantees of any kind, express or implied. While we strive to maintain a secure and reliable platform, Wellbee Social is not liable for:- Any loss of data, revenue, or profits arising from system outages, technical errors, unauthorized access, or other disruptions.
- Issues caused by third-party services or payment processors (e.g., PayPal).
- Consequences of delays, cancellations, or errors in processing transactions or payouts.
- Any indirect, incidental, or consequential damages, even if advised of the possibility of such damages.
11.2 Platform Role Clarification
Wellbee Social acts solely as a platform provider and facilitator, enabling Instructors to sell courses, and events. Wellbee Social is not responsible for:- The quality, safety, or legality of content, events, or products offered by Instructors.
- Disputes or claims between Instructors and Users.
- Any misrepresentation by Instructors in their product descriptions, event details, or course content.
12. Miscellaneous Legal Terms
12.1 Updates to Terms
Wellbee Social may update these Terms periodically. Instructors will be notified of significant changes via email or platform notifications.12.2 Relationship
These Terms do not establish a joint venture, partnership, or employment relationship between you and Wellbee Social.12.3 Survival
The following provisions shall survive termination of your Instructor account:- Licenses and Intellectual Property: Wellbee Social retains the rights granted under the license for marketing, quality control, and promotional purposes.
- Payments, Refunds, and Payouts: Instructors remain responsible for fulfilling refund obligations and resolving any outstanding payments or disputes.
- Indemnification: Instructors must indemnify Wellbee Social for claims arising from their activities on the platform, as outlined in these Terms.
- Dispute Resolution: Arbitration provisions remain enforceable for any disputes relating to activities conducted before account termination.
